Public Offer to Conclude a Service Agreement
Version of October 21, 2026
1. General provisions
- This document is an official proposal (public offer) of Sviatoslav Lvovich Gavrilov, a self-employed individual (payer of the professional income tax, Russian Federation), TIN 732900158313 (the “Provider”), to conclude a service agreement (the “Agreement”) on the terms below in accordance with Article 437(2) of the Civil Code of the Russian Federation.
- The Agreement is concluded upon acceptance of the offer. Acceptance is any of the following: registering an account on the Website, topping up the Balance, or submitting text for narration. Acceptance means full and unconditional agreement with the offer.
- The current version of the offer is published at https://ai-bookreader.com/offer. The Provider may amend the offer by publishing a new version on the Website; the new version applies to relations arising after its publication. Funds paid before a price change are spent at the prices in effect when the specific Service is rendered.
2. Definitions
- Website — the website at https://ai-bookreader.com, including all its pages and the personal account area.
- Customer — a legally capable individual, sole proprietor or legal entity that has accepted the offer.
- Account — the Customer’s account on the Website, accessed with an email address and password.
- Credit — a unit of account for the advance paid by the Customer for the Services. One (1) Credit corresponds to one (1) Russian rouble paid by the Customer. Credits are not money, electronic money or digital currency, cannot be transferred to another person and are used only to pay for Services on the Website.
- Bonus Credits — Credits granted by the Provider free of charge (for confirming the email address, on top of a top-up amount, etc.).
- Balance — the number of Credits on the Customer’s Account.
- Materials — texts and files uploaded by the Customer to the Website for narration.
- Result — audio files obtained by narrating the Materials.
3. Subject of the Agreement
- The Provider renders to the Customer a text-to-speech (narration) service using neural speech synthesis models and provides access to the Website’s tools for configuring the narration (choice of voice and reading style, pronunciation dictionary, editing and re-narrating fragments), temporary storage of Materials and Results and extension of their storage period (the “Services”). The Customer pays for the Services as set out in the Agreement.
- For speech synthesis the Provider uses third-party services (including Google). The Provider is liable to the Customer for the actions of such third parties as for its own.
- The narration Service is deemed rendered when the relevant fragment of the Materials has been narrated and the Result has become available to the Customer in the personal account.
4. Prices and payment
- The Services are paid in advance: the Customer tops up the Balance, and the cost of the Services rendered is deducted from the Balance in Credits. In Russia, top-ups are made by bank card or via the Faster Payments System through the payment service Robokassa; card details are processed by the payment service and are not transferred to the Provider.
- The cost of narration depends on the actual amount of synthesized speech and is determined by the rules published on the Pricing page. Before narration starts, the Website shows its estimated cost. The estimated amount is reserved on the Balance; only the cost of the fragments actually narrated is deducted, and the rest of the reserve is returned to the Balance.
- Fragments that could not be narrated due to a failure on the side of the Provider or the speech synthesis service are not charged. Re-narrating a fragment at the Customer’s request is charged as a new narration.
- If the Balance is insufficient, narration does not start or is paused until the Balance is topped up.
- A receipt (professional income tax receipt) is issued for each top-up and sent to the Customer’s email address.
5. Storage of Materials and Results
- Materials and Results are stored on the Website for 30 (thirty) calendar days from the Customer’s last action with the respective book (upload, narration, editing). After this period they are deleted automatically and irreversibly.
- The Customer undertakes to download the Results and keep copies. The Website shows the deletion date in advance and sends an email reminder; however, the absence of a reminder does not extend the storage period.
- The Customer may extend the storage of a book for Credits: each extension adds 30 calendar days. The price of an extension is shown on the Pricing page. Extension is possible until the book is deleted.
- After Materials and Results are deleted, the transaction history keeps only information about charges (date, amount, book title).
6. Rights and obligations of the Parties
- The Provider shall render the Services in accordance with the Agreement and keep the Customer’s Materials and personal data confidential.
- The Provider may change the set of available voices, models and tools of the Website and carry out maintenance with temporary restriction of access to the Website.
- The Provider may suspend access to the Account if the Customer breaches the Agreement, including by uploading Materials referred to in clause 6.5.
- The Customer shall provide a valid email address, not disclose the password to third parties and is responsible for actions performed from the Account.
- The Customer shall not upload Materials whose distribution is prohibited by law, or Materials infringing the rights of third parties.
7. Intellectual property
- The Customer warrants that it holds rights to the Materials sufficient for their narration and further use of the Result, or uses them within the limits permitted by law. The Customer is liable for any infringement of third-party rights.
- The Provider claims no rights to the Materials or Results. The Customer may use the Results at its discretion, including for commercial purposes, subject to third-party rights and clause 7.1.
- The Provider uses the Materials solely to render the Services, does not publish them and does not use them to train neural network models.
8. Narration quality
- The Customer is aware that the narration is performed by a neural network and the result may contain pronunciation peculiarities (stress, intonation, reading of names and terms). The pronunciation dictionary, style selection and re-narration of fragments are available on the Website to correct them.
- If a Result is unusable due to a technical error (cut-off, silence, noise, skipped text), the Customer may report it to the Provider; Credits for such fragments are returned to the Balance.
9. Refunds
- The Customer may withdraw from the Agreement at any time and request a refund of the unused balance of paid Credits (Article 32 of the Russian Consumer Protection Law, Article 782 of the Civil Code of the Russian Federation). Bonus Credits are not refundable and are not taken into account when calculating the refund.
- The refund equals the remaining paid Credits (in roubles) minus the costs actually incurred by the Provider in connection with the refund (payment service fee).
- To request a refund, the Customer sends an application to chilovegsaundtreg@gmail.com from the email address used at registration. The Provider reviews the application and refunds the funds within 10 (ten) calendar days by the same method used for payment. After the refund the Account may be closed.
- Credits charged for Services rendered are not refundable, except in the cases provided for in clauses 4.3 and 8.2.
10. Liability
- The Parties are liable for non-performance or improper performance of their obligations under the Agreement in accordance with the laws of the Russian Federation.
- The Provider is not liable for the loss of Materials and Results deleted after the storage period (section 5) or for the consequences of the Customer’s use of the Results.
- The Parties are released from liability for failure to perform due to force majeure (natural disasters, acts of authorities, epidemics, large-scale communication infrastructure failures, etc.). The affected Party notifies the other Party within 30 business days. If the circumstances last more than 60 business days, either Party may withdraw from the Agreement.
11. Personal data
The Customer’s personal data is processed in accordance with Russian Federal Law No. 152-FZ “On Personal Data” and the Personal Data Policy.
12. Term and dispute resolution
- The Agreement is valid until the Parties have fully performed their obligations or until it is terminated. The offer is valid until withdrawn by the Provider.
- Disputes are resolved through negotiations. A pre-trial claim procedure is mandatory; the response period is 10 calendar days. If no agreement is reached, the dispute is referred to court in accordance with the laws of the Russian Federation.
- The Agreement is governed by the laws of the Russian Federation. The language of the Agreement is Russian; this translation is provided for information.
